The purpose of this contract notice is for the procurement of the Scotland鈥檚 Public Sector Heat Decarbonisation Framework (SPSHD) previously known as the Non Domestic Energy Efficiency (鈥淣DEE鈥) Framework for public sector estate improvement works.

This procurement will follow a two stage Restricted Procedure: suppliers will first complete an SPD, and shortlisted suppliers will then be invited to submit a full tender at the ITT stage.

The Framework, which the Scottish Government will manage, will cover building energy retrofit in its broadest sense including a combination of building fabric, building environmental services systems and their control (e.g. heating, cooling, ventilation, lighting, water etc.), on site renewables, and the potential to connect to district heating systems. It will enable public sector bodies wishing to take forward energy retrofit projects to use (or 鈥榗all off) the Framework and run mini-competitions with suppliers appointed to it to deliver those projects.

In addition, the Scottish Government will incorporate the decarbonisation of heating systems into the Framework to meet strategic objectives around net zero.

In addition to the delivery of works as part of energy retrofit projects, public sector bodies may require framework suppliers to deliver ancillary services. For example, at call-off stage, Economic Operators may be expected to demonstrate their capability to operate and maintain the technology they install. This could include ongoing maintenance or technical support; however, such services will be subject to Framework Public Bodies' needs and may not be required for every project. Where these services are necessary, suppliers may be requested to provide them directly or alternatively through an approved subcontractor, with responsibility for quality and performance remaining with the primary contractor.

The Framework will have one lot, comprising multiple framework suppliers each able to deliver energy efficiency works and services to public sector bodies via a range of technical solutions that will provide guaranteed energy performance over the term of the call-off contract awarded under the Framework.

Economic Operators will be expected to have the capacity to provide the services, including via supply chain, across all regions of Scotland including the Highlands and Islands.

No public sector body is committed to place an order under the Framework Agreement.

The Framework is intended to support large-scale, complex retrofit and decarbonisation projects, typically exceeding 1 million GBP in value, although project values may vary depending on specific requirements. Projects below this value may also be delivered through the Framework where appropriate; however, alternative existing frameworks may be better suited to lower-value or less complex requirements.

II.2.4) Description of the procurement

The SPSHD Framework will operate as a single lot, multi supplier framework, appointing a range of capable economic operators able to deliver energy retrofit and heat decarbonisation solutions across the public sector estate. It will be managed by the Scottish Government. Services delivered under the Framework may include measures relating to building fabric, building services and controls (such as heating, cooling, ventilation, lighting and water systems), on site renewable technologies, and connections to district heating networks.

It is intended that the Framework will be awarded on an unranked basis and the method of call off will be through a mini- competition process. All projects will be delivered through a Design and Build Energy Performance Contract model, under which suppliers appointed to the Framework will be invited to compete for individual projects via mini competition call off procedures run by Participating Authorities. Mini competitions may be staged where appropriate to reflect project scale, complexity, or risk. Call off contracts may include associated operation and maintenance services where required on a project specific basis. The Framework will be established for an initial three year term, with the option to extend for a further one year, and suppliers must be capable of delivering works and services across all geographic areas of Scotland, including rural, island, and remote locations.

The SPD selection process will consist of 3 Parts:

Part One: Mandatory and Discretionary Exclusion Grounds (Pass/Fail);

Part Two: Minimum Selection Criteria (Pass/Fail); and

Part Three: Scored Selection Criteria (Weighted) Only Economic Operators who pass Stage One and Two will progress to Stage Three.

Up to a maximum of 16 Economic Operators achieving the highest overall scores at Part Three, having passed all mandatory requirements at Part One and Two, and having achieved the minimum score threshold of 2 in each Question for B1, B2, B4 and B5, will be invited to Restricted Procedure Stage 2 (ITT Stage).

Where fewer than 16 Economic Operators meet these requirements, only those compliant Economic Operators will be invited to the ITT Stage.

In the event that more than 16 Economic Operators meet the minimum requirements and achieve scores sufficient to be considered for short-listing and a tie occurs for 16th place, the tie-break will be determined by reference to the highest score achieved in question B1 (Technical and Professional Ability). Where scores remain equal, scores will be considered sequentially for Questions B2 to B5 until the tie is resolved and highest score is identified.

SPD 4B.4 - Financial Ratios

Economic Operators must confirm that as a minimum, 2 out of the following 3 ratios can be met in respect of each of the most recent three financial years (where data is available) to achieve a pass.

1 Profitability 鈥 this is taken as profit after tax but before dividends and minority interests. If a company makes a profit then it is a pass for this ratio;

2 Liquidity 鈥 this is calculated as current assets, divided by current liabilities. If the answer is greater than or equal to one then it is a pass for this ratio;

3 Gearing 鈥 this is calculated as the total external secured borrowing (i.e. debt) divided by Total Assets expressed as a percentage. If the answer is less than or equal to 100% it is considered a pass for this ratio.

There must be no qualification or contra-indication from any evidence provided in support of the Economic Operators economic and financial standing.

Economic Operators who do not comply with the above financial requirements but are part of a Group, can provide a Parent Guarantee if the Parent company satisfies the financial requirements stipulated above.

In the event that the Economic Operators does not comply with this requirement, they will not be considered any further in this tendering exercise. The Procurement Officer may ask for annual accounts from the Economic Operators.

SPD 4B.5 - Insurance

It is a requirement that Economic Operators hold or can commit to obtain prior to the commencement of any subsequently awarded contract the types

of insurance indicated below:

Employer鈥檚 (Compulsory) Liability Insurance - in the sum of not less than 5 million GBP or in accordance with any legal obligation for the time being in force.

Public Liability Insurance - in the sum of not less than 10 million GBP in respect of each claim.

Professional Risk Indemnity Insurance - in the sum of not less than 5 million GBP in any one claim.

Such insurance must be maintained for the duration of the Agreement.

Economic Operators who do not currently have or cannot commit to obtaining the levels of Insurance requested may be excluded from the procurement process. In event of award of a Framework, Scottish Government will seek proof that these Insurance provisions have been fully complied.

4C.4 Supply Chain Management

If Economic Operators intend to use a supply chain to deliver the requirements detailed in the Contract Notice, they should confirm they have (or have access to) the relevant supply chain management and tracking systems to ensure a resilient and sustainable supply chain. This will include confirmation that they have the systems in place to pay subcontractors through the supply chain promptly and effectively, and provide evidence as detailed within the SPD Guidance Document attached to PCS-T

4C.6.1 - Educational and Professional Qualifications Environmental Management

Economic Operators will be required to confirm that their managerial staff have the relevant educational and professional qualifications and hold Chartered Status or an equivalent professional qualification relevant to the procurement (ie associated with the energy efficiency retrofit and / or clean heat installation of buildings) and issued by a recognised professional body appropriate to the discipline and must be current and valid.

Only Economic Operators who meet this requirement will achieve a Pass for Question 4C.6.1 as detailed within the SPD Guidance Document attached to PCS-T.

4C.7 Environmental Management

Economic Operators will be required to demonstrate knowledge of the climate emergency and the impact of their organisation, including their organisation鈥檚 own scope 1 and 2 emissions.

Only Economic Operators who provide the required Climate Change Plan Template(s), in line with SPD (Scotland) Guidance, will achieve a Pass for Question 4C.7.

It is envisaged that up to 12 contractors will be appointed, however Scottish Government reserve the right to vary this number down based on the number of competent bids received.

Prior to submitting an SPD response, Economic Operators must review the draft Statement of Requirements in addition to the Contract Notice and satisfy themselves that they are able to deliver the works (and any ancillary services) described therein.

The Statement of Requirements is provided for indicative purposes only and may be subject to refinement or amendment prior to the Invitation to Tender stage.

SPD (Scotland) will be scored in accordance with the SPD Guidance Document which can be located via PCS-T.

Economic Operators must download and complete a separate SPD (Scotland) form for any subcontractors involved in the delivery of this service.

Question scoring methodology for Award Criteria (Stage 2) will be outlined within the Invitation to Tender once issued to successful stage 2 Suppliers using the 0-4 scoring methodology.

Please note there are minimum requirements concerning Cyber Security for this contract to which a pass/fail marking will attach as part of the Award Criteria.

Economic Operators will be required to complete a Supplier Assurance Questionnaire (SAQ) using Supply25 to demonstrate they can meet the minimum Cyber Security Requirements.

The questionnaire will be aligned to a Moderate Cyber Risk Profile established for this contract, based on the Contracting Authority鈥檚 assessment of cyber risk.

Further details will be set out in the ITT documents at Stage 2.

A contract condition will require the Economic Operators to comply with the minimum security requirements.

-they will pay staff that are involved in the delivery of the contract at least the real Living Wage

-they will meet standards on payment of subcontractors

Economic Operators who do not pass these questions will not be subject to Commercial Analysis. As a result the tender will not be considered further.
